These Terms govern access to and use of PRE-ORDER. They do not replace the sales terms agreed between an independent Seller and a Buyer for a particular Product. Mandatory consumer rights continue to apply where applicable.

Important notice

PRE-ORDER is an innovative digital platform for fashion pre-orders, providing digital infrastructure to connect independent brands and manufacturers with wholesale Business Buyers and retail Consumers. It supports future-collection discovery, demand insights, communication and pre-order management. PRE-ORDER is not the seller of independent Seller Products.

When a Buyer places a binding Pre-order and the Seller accepts it under the disclosed transaction rules, the Product Contract is directly between Seller and Buyer. PRE-ORDER supplies digital infrastructure, workflow and support tools. B2C payments are intended to use Stripe; B2B payments are intended to use a separate licensed provider with conditional fund-holding where approved and operational. PRE-ORDER neither operates a bank account for Buyer deposits nor promises live escrow services before a provider arrangement is in place.

If you are a Consumer, mandatory consumer-protection rights apply and cannot be excluded by these Terms. If you act for business purposes, additional business-user terms, Seller terms or negotiated B2B documents may apply.

1. About these Terms

1.1 These Terms of Service (“Terms”) form a legally binding agreement between you and “PRE-ORDER Europe” EOOD, a Bulgarian single-member limited liability company registered under UIC/EIK 208904127 (the “Operator”, “PRE-ORDER”, “we”, “us” or “our”).

1.2 These Terms apply to the PRE-ORDER mobile application, pre-ordera.com, associated web pages, account areas, messaging features, collection and Product pages, Brand panels, Pre-order tools and related services that link to these Terms (together, the “Platform”).

1.3 By creating an Account, clicking to accept these Terms, submitting a transaction or continuing to use the Platform after these Terms are made available, you confirm that you have read and accepted them. If you act for a company or another organisation, you confirm that you have authority to bind it.

1.4 Product-specific information, the Seller’s lawful sales terms, the order summary, the Platform Terms, the Buyer Agreement or Seller Agreement where applicable, the relevant B2B Collection Agreement (Model A, B or C), and policies expressly incorporated into these Terms also apply. If documents conflict, mandatory law prevails; then the transaction-specific Product Contract governs the Product sale; then these Terms govern use of the Platform.

1.5 The English and Ukrainian versions may both be published. Where permitted by law, the English version may be used as the reference version for interpretation, without overriding mandatory local-language or consumer-protection requirements.

2. Who operates and develops PRE-ORDER

2.1 The Platform Operator is “PRE-ORDER Europe” EOOD. The Operator manages user access, Platform rules, online intermediation, account administration and commercial relationships connected with the Platform.

2.2 LLC “B2B Agency”, Ukraine, acts as an affiliated research, development and technology provider and may develop or maintain software, artificial-intelligence components, Digital Product Passport functions, analytics and other technology for the Operator. Unless a separate agreement expressly states otherwise, B2B Agency is not the Platform operator and is not a party to a Product Contract between a Seller and Buyer.

2.3 The Platform may be technically accessible worldwide. Transactional features, binding Pre-orders, payment methods, Seller onboarding and specific Services may be limited by country, sanctions, payment-provider availability, local law, product restrictions or rollout stage.

3. Definitions

Account a registered profile used to access Platform functionality.

Business Buyer a natural or legal person acting for purposes related to a trade, business, craft or profession, including a wholesale buyer.

Business User a Seller, Business Buyer or other user acting for commercial or professional purposes.

Buyer a Consumer or Business Buyer that explores, requests or places a Pre-order.

Consumer a natural person acting for purposes outside their trade, business, craft or profession.

Content text, images, videos, Product data, messages, reviews, files and other material submitted to or displayed through the Platform.

Estimated Delivery Window the Seller’s good-faith estimate of when a pre-ordered Product is expected to be dispatched or delivered.

Payment Provider an independent licensed payment provider selected for the transaction: Stripe for B2C where enabled, or a separately approved provider for B2B payments and conditional-funds services.

Pre-order an order or request for a Product that is planned, not yet manufactured, made-to-order, or scheduled for a future release. An unpaid Bag item is not a financially confirmed pre-order.

Product a fashion item or related good offered by a Seller through the Platform.

Product Contract the contract for sale and purchase of a Product directly between the identified Seller and Buyer.

Seller an independent brand, manufacturer or other trader offering Products or future collections through the Platform.

Services the Platform and digital functionality provided by the Operator.

4. What PRE-ORDER provides

4.1 Depending on country, user role and rollout stage, the Services may allow users to create profiles; publish or discover brands, collections and Products; follow or save Products; communicate through messaging; express interest; request quotations; negotiate permitted commercial details; place or accept Pre-orders; manage order status; make or receive payments through a Payment Provider; and access analytics, demand insights, traceability or Digital Product Passport information.

4.2 Not every feature is available in every market or release. A listing, like, saved item, waiting-list entry, Expression of Interest or item kept in the Bag does not establish a paid order, count towards financially confirmed MOQ or create a Product Contract unless the interface and confirmation expressly establish the relevant obligation and payment status.

4.3 PRE-ORDER does not guarantee that a Product will enter production, reach a minimum demand threshold, remain available, match an initial concept image in every immaterial detail, or be delivered by an estimated date. The Seller must disclose material conditions and changes, and mandatory Buyer rights remain unaffected.

4.4 Analytics, demand forecasts, sustainability indicators, recommendation outputs and similar information are decision-support or informational tools. They are not guarantees of future sales, production feasibility, profitability, environmental outcomes or delivery performance.

5. Eligibility, Accounts and security

5.1 You must be at least 18 years old and legally capable of entering into these Terms and, where applicable, a Product Contract. The Platform is not directed to children.

5.2 You must provide accurate, complete and current information, keep Account credentials secure, and promptly notify us of suspected unauthorised access. You are responsible for activity through your Account except to the extent caused by our failure to apply reasonable security measures.

5.3 We or the Payment Provider may request identity, business, beneficial-ownership, tax, bank-account, billing, delivery, product-safety or transaction information where reasonably required for law, payment processing, fraud prevention, sanctions screening, risk controls or Platform functionality. Transactional features may be restricted until verification is complete.

5.4 You may not impersonate another person, create an Account for another person without authority, evade a suspension, sell or transfer an Account without approval, or use another person’s payment or business credentials without lawful authority.

5.5 We may require multi-factor authentication, re-verification, password reset, additional documents or other reasonable security controls where risk, law or Platform integrity requires it.

6. User roles and Seller status

6.1 A user may act as a Seller, Business Buyer or Consumer. Different terms and mandatory laws apply to each role. You must select and use the correct status for each transaction.

6.2 Before enabling a Seller to offer Products or receive integrated payments, PRE-ORDER and/or the Payment Provider may collect and assess legal name, address, contact details, registry information, tax information, payment-account details, authorised representatives, beneficial owners, product-safety information and other verification data.

6.3 Verification is a risk-control measure and does not constitute certification, endorsement, warranty of solvency or guarantee of the Seller or its Products.

6.4 Where required, the Platform may indicate whether the Seller declares itself to be acting as a trader. Consumer rights generally depend on the legal status of the contracting Seller and the applicable law.

7. Listings, future collections and Product information

7.1 Sellers are responsible for ensuring that listings, visualisations and communications are accurate, lawful and not misleading. Before a Buyer becomes bound, the Seller must provide information required by applicable law and the Platform, including Seller identity, Product characteristics, price or pricing method, taxes, delivery charges, payment terms, production status, Estimated Delivery Window, cancellation and return terms, territorial restrictions, and any applicable collection-level, SKU/article-level or colour-level MOQ.

7.2 Listings may concern concepts, samples, prototypes, made-to-order Products or collections not yet manufactured. Concept images, AI-generated visuals or prototypes must be labelled where they do not show the final manufactured Product. Reasonable non-material differences may occur, but material substitutions require notice and valid Buyer consent where required.

7.3 Sellers must hold the rights, licences, approvals and Product documentation required to offer and supply the Product. PRE-ORDER may remove or restrict unsafe, illegal, counterfeit, recalled, misleading or rights-infringing Products.

7.4 Saving, liking, following, viewing or retaining a Product in the Bag does not reserve inventory, count towards a financially confirmed production threshold or fix a price unless the Platform expressly states otherwise. Unpaid items may remain in the Bag and attract payment reminders, subject to user notification preferences and the disclosed campaign deadline.

8. How a Pre-order becomes binding

8.1 The interface must distinguish between a non-binding expression of interest, a quotation request, an unpaid item in the Bag and a Pre-order that creates a payment obligation. Only a provider-confirmed eligible payment may qualify an order as financially confirmed for B2B MOQ purposes.

8.2 A Product Contract forms only under the acceptance mechanism disclosed for the relevant transaction. For B2B collection campaigns, the Business Buyer confirms the agreed order and applicable Collection Agreement, completes the required initial payment before the campaign deadline (30% under Model A or B, or 100% under Model C), and the Seller accepts the order under the stated procedure. Achievement of MOQ and the decision to launch production are distinct subsequent conditions and do not by themselves make an unpaid Bag item binding. For B2C, the checkout provides for full payment through Stripe and the Seller’s stated acceptance process.

8.3 An automated acknowledgement that a request was received is not necessarily Seller acceptance. The binding confirmation should identify the Seller, collection, Product/SKU and colour, quantity, prices and applicable taxes, payment model and status, delivery estimate, cancellation terms and any relevant MOQ condition.

8.4 The Seller is responsible for accepting or rejecting Pre-orders, production decisions, supply, conformity, fulfilment, delivery, after-sales service, cancellations and refunds under the Product Contract. PRE-ORDER may provide workflow and support tools without becoming the Seller.

8.5 For Business Buyers, quantities, collection, SKU/article and colour requirements, production thresholds, specifications, Incoterms, taxes, customs, acceptance criteria and payment stages are recorded in the applicable Collection Agreement Model A, B or C, the order specification or another agreed B2B document. The MVP payment models are A (30% upfront, 70% on an agreed date or objective event), B (30% upfront, 70% in agreed stages linked to partial deliveries), and C (100% upfront). A single checkout order covers one Seller/Brand; combined Bags are separated into Seller-specific orders.

9. Prices, payments and prepayments

9.1 The Seller determines Product prices. B2B catalogue prices may be displayed exclusive of VAT, with applicable tax amounts identified separately in the order and the Seller’s official invoice in accordance with law. B2C checkout must show the legally required total inclusive of applicable taxes and unavoidable charges before the Consumer becomes bound. Delivery is calculated separately for the selected logistics option and disclosed before the relevant payment obligation. The tax treatment cannot be determined solely by the Buyer’s country without regard to the transaction and applicable rules.

9.2 For B2C, the intended integrated payment provider is Stripe and the standard checkout requires 100% prepayment. For B2B, PRE-ORDER intends to integrate an independent licensed payment provider with a provider-controlled wallet or conditional-funds arrangement for initial deposits and subsequent payments. A B2B provider, jurisdiction or payment method is enabled only after the provider confirms its availability and applicable terms. Each Payment Provider operates under its own regulated permissions, terms, verification and privacy notices.

9.3 PRE-ORDER does not itself receive or hold Buyer deposits as a bank, payment institution or escrow agent. Where an eligible B2B conditional-holding service is actually enabled, the independent licensed Payment Provider controls receipt, safeguarding or holding, release, refunds and payouts under its agreed rules. A displayed virtual balance is a record of provider-controlled funds, not freely withdrawable credit, a PRE-ORDER bank account or a guaranteed escrow protection unless the specific provider terms legally establish that protection. No B2B holding functionality is represented as live before integration and country approval.

9.4 The B2B Seller selects Model A (30% initial payment and 70% at the agreed fixed date or objective event), Model B (30% initial payment and 70% by agreed partial-delivery stages) or Model C (100% initial payment). The initial B2B amount is paid to the licensed provider when the Business Buyer financially confirms the order, before the campaign deadline, and is not deferred until MOQ is reached. B2C checkout uses 100% prepayment through Stripe. Provider-controlled fund release and later payment triggers must be stated in the Collection Agreement and checkout and remain subject to the approved provider capabilities.

9.5 A successful payment establishes the recorded financial commitment but does not, by itself, guarantee that collection-level, SKU/article-level or colour-level MOQ will be achieved, that the Seller will launch production or that the Product will be delivered. Unpaid Bag items are not counted as funded orders. Production remains the Seller’s decision under the applicable terms.

9.6 Where the required production condition is not met, the Seller rejects or cancels an order, or another valid refund event arises, payment reversals or refunds are performed through the Payment Provider for that transaction, according to the applicable Collection Agreement, Product Contract, Refund & Cancellation Policy and mandatory law. B2B alternatives such as replacement Products or credit against another collection require the Business Buyer’s valid agreement and cannot replace a legally required refund unilaterally.

9.7 The agreed Platform commission on B2B Product value is 1.5% payable by the Business Buyer and 1.5% payable by the Seller/Brand, calculated on the Product amount excluding VAT and separately charged delivery, with the applicable payment timing and lawful adjustments disclosed before payment. The B2C transaction commission rate is 8%; its allocation to the paying party is governed by the separately accepted and disclosed commercial terms, and no undisclosed or unlawful Consumer surcharge is implied. Payment Provider charges and independently calculated logistics charges are distinct from these Platform commissions.

10. Production thresholds, estimates, delivery and changes

10.1 Where a collection depends on minimum production volumes, the Seller must disclose the applicable collection-wide threshold and, where relevant, MOQ for each article/SKU and colour, together with the campaign deadline, counting rules, payment treatment and consequences of failure. The collection-wide production minimum is the Seller’s or factory’s commercial production decision. Only eligible financially confirmed B2B orders count as funded demand; an unpaid Bag item, saved Product or mere expression of interest does not. Failure of a collection-wide condition may prevent production even where an individual SKU threshold is met.

10.2 Estimated Delivery Windows are estimates unless the Seller expressly commits to a fixed date or mandatory law makes the date binding. The Seller must communicate material delay or cancellation.

10.3 The Seller, not PRE-ORDER, remains responsible for production, packaging, lawful dispatch, delivery performance, customs documentation, import/export compliance and conformity under the Product Contract. PRE-ORDER may separately contract with logistics partners to provide rate quotations, integrations, tracking or coordination without becoming the Seller or Carrier merely through those services.

10.4 Delivery tracking shown on the Platform may rely on Seller, carrier or other third-party data and may be delayed or incomplete.

10.5 Material changes to essential Product characteristics, price or delivery commitments may require Buyer notice, renewed agreement, cancellation rights or refund rights under applicable law and the Product Contract.

11. Consumer cancellations, withdrawal, returns and conformity

11.1 Consumers may have statutory rights to withdraw from a distance contract, cancel in certain circumstances, receive refunds, and obtain remedies for non-conforming or unsafe goods. Nothing in these Terms removes or shortens mandatory rights.

11.2 For many Consumer distance purchases in the European Union, a 14-day withdrawal period may apply, normally beginning when the Consumer or a nominated third party acquires physical possession of the goods, subject to applicable national law.

11.3 Exceptions may apply, including for goods genuinely made to the Consumer’s specifications or clearly personalised. A Product is not automatically exempt merely because it was pre-ordered, made after order or described as made-to-order.

11.4 The Seller remains responsible for the Product’s conformity and legally required remedies. Depending on applicable law, remedies may include repair, replacement, price reduction, termination and refund.

11.5 The Refund & Cancellation Policy, Shipping & Delivery Policy, Buyer Agreement and Seller’s lawful transaction terms must be read with this section.

11.6 Business Buyer cancellation, returns and conformity rights are governed by the Product Contract and applicable commercial law rather than Consumer withdrawal rules.

12. Communications and contracting records

12.1 Users may communicate through the Platform about Products, orders, support and commercial matters. Messages may be stored and reviewed where necessary to provide the Services, prevent fraud, resolve disputes, enforce these Terms or comply with law, as described in the Privacy Policy.

12.2 Electronic notices, confirmations, receipts and transaction records may be provided in-app or to the email address associated with the Account. Where agreement is accepted electronically, PRE-ORDER may retain the acceptance date and time, account and company identity, authorised representative, language and version of the terms, and the corresponding transaction reference. Users should retain important order and commercial records.

12.3 Users must not use messaging to harass, threaten, send unlawful marketing, request suspicious off-platform payments, distribute malware, disclose another person’s confidential information unlawfully or circumvent transparently agreed Platform fees through fraudulent means.

13. Search, ranking, recommendations and AI-supported tools

13.1 Search results and recommendations may consider relevance to a query, Product or collection attributes, availability, language, location, engagement, recency, Seller performance, Buyer preferences, commercial arrangements and, where deployed, predicted demand.

13.2 Paid placement, sponsorship or other commercial influence on ranking will be labelled where required. PRE-ORDER does not guarantee a Seller any ranking position, audience, visibility, conversion or sales volume.

13.3 Automated tools may assist with recommendation, moderation, fraud detection, translation, analytics or demand forecasting. Material limitations and legally required explanations will be provided in the AI Transparency Statement or relevant feature notice.

13.4 AI-supported demand forecasts and production recommendations are decision-support outputs. Brand users remain responsible for final production decisions and may accept, modify or reject recommendations.

14. Content and intellectual property

14.1 You retain ownership of Content you submit. You grant the Operator a worldwide, non-exclusive, royalty-free and sublicensable licence to host, store, reproduce, technically adapt, translate, display and distribute that Content only as reasonably necessary to operate, secure, promote and improve the Services, provide support and fulfil transactions.

14.2 The licence ends when Content is deleted, except for lawful retention, backups, fraud or dispute evidence, regulatory records, or Content already shared as part of an ongoing transaction.

14.3 You confirm that you have all rights needed for your Content and that it does not infringe intellectual property, privacy, publicity, confidentiality or other rights.

14.4 Platform software, databases, design, branding, interfaces and Operator-created content are owned by or licensed to the Operator. Subject to these Terms, we grant you a limited, revocable, non-exclusive and non-transferable right to use the Platform for its intended purpose.

14.5 You may not scrape the Platform at scale, reverse engineer it except where law permits, bypass security controls, copy substantial database contents, use PRE-ORDER branding without permission, or use Platform data to train an external AI model without written permission or another lawful basis.

15. Acceptable use and prohibited activity

15.1 You must comply with the Acceptable Use Policy and Community Standards.

15.2 Without limitation, you must not use the Platform to offer counterfeit, stolen, unsafe, recalled, illegal or rights-infringing Products; misrepresent identity, trader status, origin, composition, availability, certification, sustainability attributes, delivery dates or price; manipulate reviews, engagement, rankings, demand signals or transactions; engage in fraud, money laundering, sanctions evasion or unlawful trade; unlawfully discriminate, threaten, harass or exploit; upload malicious code or interfere with security; collect personal data without a lawful basis; or encourage conduct that violates applicable law or Platform policies.

16. Moderation, illegal content, Product safety and complaints

16.1 Users, rights holders and competent authorities may notify PRE-ORDER of allegedly illegal Content, unsafe Products, counterfeit Products, infringement or other prohibited activity through the contact and reporting channels made available on the Platform.

16.2 We may investigate and, where reasonably necessary and proportionate, restrict visibility, delist Content or Products, disable transactional functionality, suspend or terminate Accounts, preserve evidence, notify affected persons, cooperate with Payment Providers or report matters to competent authorities.

16.3 Where required by law, affected users will receive a statement of reasons for restrictions and access to an internal complaint process. Information may be withheld where disclosure is prohibited or would undermine security, fraud prevention or an investigation.

16.4 A good-faith report does not automatically establish illegality or breach. PRE-ORDER will consider available information, the rights and legitimate interests of affected parties, and applicable law.

17. Suspension, restriction and termination

17.1 You may stop using the Services and request Account closure at any time, subject to open transactions, legal retention and obligations that survive closure.

17.2 We may restrict, suspend or terminate access for a material or repeated breach, fraud, security threat, sanctions or regulatory risk, unlawful activity, prolonged inactivity, non-payment of agreed Platform fees, or discontinuation of a Service. Where appropriate and legally required, we will give prior notice, reasons and an opportunity to remedy or appeal.

17.3 Immediate restriction may occur where law, cybersecurity, fraud prevention, Product safety or another urgent risk does not allow prior notice.

17.4 Account termination does not by itself cancel an existing Product Contract. Seller and Buyer remain responsible for completing, cancelling or refunding the Product Contract under applicable law and their agreement.

18. Third-party services

18.1 The Platform may integrate app stores, Stripe or other payment providers, identity-verification services, analytics, cloud hosting, email services, logistics providers, maps, social networks, Digital Product Passport infrastructure or external websites.

18.2 Independent providers operate under their own terms and privacy notices. PRE-ORDER is responsible for its own selection and integration duties under applicable law, but does not control independent providers’ systems or guarantee their uninterrupted availability.

19. Privacy, cookies and electronic communications

19.1 PRE-ORDER processes personal data as described in the Privacy Policy and relevant notices. Cookies and similar technologies are addressed in the Cookie Policy and, where required, the consent interface.

19.2 These Terms do not constitute consent where data-protection or electronic-communications law requires a separate choice.

19.3 Service messages relating to security, Account administration, payment, order status or fulfilment are not marketing. Where promotional communications require consent or another lawful basis, users will be provided with legally required choice and unsubscribe controls.

20. Availability, changes, beta and pilot functionality

20.1 We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. Maintenance, upgrades, security events, third-party failures, connectivity problems and circumstances beyond reasonable control may affect availability.

20.2 Features labelled beta, pilot, preview, experimental or under development may be incomplete, changed or withdrawn.

20.3 Users must not treat AI predictions, sustainability indicators, traceability records or Digital Product Passport information as legal, financial, engineering or other professional advice. Sellers remain responsible for source data they provide and for legally required Product information.

20.4 We may update the Platform and these Terms. Material changes will be communicated in a durable or otherwise legally adequate form before they take effect where required. Consumer rights will not be reduced retroactively where law requires consent. Additional notice rules for business users are set out in Schedule 1.

21. Disclaimers and allocation of responsibility

21.1 Sellers are independent businesses. Except where PRE-ORDER is legally responsible for its own act or omission, PRE-ORDER does not control and is not responsible for a Seller’s Product, manufacturing decision, inventory, claims, compliance, delivery, refund or after-sales performance.

21.2 PRE-ORDER does not warrant that verification detects every false statement, that every Product is lawful or suitable for every user, or that a user will perform a Product Contract. A verification badge, profile status or Platform activity is not a guarantee or endorsement.

21.3 Nothing in these Terms excludes duties or liability that cannot lawfully be excluded, including mandatory Consumer rights and other non-excludable liability under applicable law.

22. Liability

22.1 For Consumers, PRE-ORDER remains liable as required by mandatory law. Nothing in this section reduces claims a Consumer may have against the Seller under a Product Contract.

22.2 For Business Users, to the extent permitted by law, PRE-ORDER is not liable for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill, anticipated savings or data.

22.3 For Business Users, to the extent permitted by law, PRE-ORDER’s aggregate liability arising from the Services in any 12-month period is limited to the greater of: (a) fees paid by that Business User to PRE-ORDER during that period; or (b) EUR 100, unless a different liability cap is expressly agreed in a signed commercial agreement. This cap does not apply where liability cannot lawfully be limited.

22.4 A user is responsible for reasonably foreseeable loss caused by its breach of these Terms, unlawful Content, infringement of third-party rights or breach of a Product Contract. A Consumer is not subject to a business indemnity merely by using the Platform.

23. Governing law and disputes

23.1 These Terms and the Operator’s Services are governed by Bulgarian law, without prejudice to mandatory conflict-of-law and Consumer-protection rules. If you are a Consumer habitually resident in another country, this choice does not deprive you of mandatory protections available under the law that would otherwise apply.

23.2 Before formal proceedings, please contact PRE-ORDER at info@b2b-agency.cc with a concise description of the dispute and the requested resolution. We will seek to respond within a reasonable period.

23.3 Business disputes arising from these Terms are subject to the competent courts of Bulgaria unless a separate written commercial agreement provides otherwise. Consumers may bring proceedings in any court available to them under mandatory jurisdiction rules and may use any applicable alternative dispute resolution mechanism.

23.4 Disputes about a Product are primarily between the Seller and Buyer. PRE-ORDER may assist with communications, transaction records or technical support but does not become the adjudicator of the Product Contract unless mandatory law provides otherwise.

24. General provisions

24.1 If a provision is invalid or unenforceable, it will be limited or severed only to the minimum extent necessary and the remaining provisions continue in effect.

24.2 Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent except where mandatory law allows. PRE-ORDER may assign these Terms as part of a reorganisation, financing, merger, sale or transfer of the Platform, provided mandatory Consumer rights are not reduced.

24.3 These Terms do not create employment, partnership, franchise, joint venture, fiduciary relationship or general agency between users and PRE-ORDER. A Seller does not have authority to bind the Operator.

24.4 Sections concerning Product Contracts, payments already made, intellectual property, data and records, liability, disputes and any provisions intended by their nature to survive continue after Account closure or termination.

25. Contact and regulatory information

Schedule 1. Additional terms for Sellers and other Business Users

1. Scope

This Schedule applies when the Services constitute online intermediation services supplied to a Business User. It supplements the main Terms and does not reduce rights that cannot lawfully be waived.

2. Changes to terms

Where applicable, PRE-ORDER will normally give Business Users at least 15 days’ notice of material changes on a durable medium and a longer period where reasonably required for technical or commercial adaptation. A notice period may not apply where PRE-ORDER must comply with a legal obligation, address an unforeseen and imminent danger, prevent fraud or security risk, or make a change that is exclusively beneficial or purely editorial where permitted by law.

3. Ranking and differentiated treatment

The main parameters determining ranking and their relative importance are described in section 13 and, where needed, in a more detailed ranking notice. If PRE-ORDER later offers its own or an affiliated business’s Products, any legally relevant differentiated treatment in ranking, data access, fees or functionality will be disclosed before that activity begins.

4. Access to data

Business Users may access data generated through their Account and transactions through available dashboards, exports or support requests, subject to personal-data law, confidentiality, security, third-party rights and technical limits. PRE-ORDER does not promise access to another user’s personal or commercially sensitive data unless legally permitted and necessary for a transaction.

5. Restrictions, suspension and termination

Where required by applicable law, PRE-ORDER will provide a Business User with a statement of reasons for restriction, suspension or termination on a durable medium. For termination of the entire intermediation service, PRE-ORDER will provide any legally required advance notice unless a permitted exception applies.

6. Internal complaint handling

Eligible Business Users may complain about alleged non-compliance, technical issues materially affecting them, or measures taken by PRE-ORDER. Complaints may be sent to info@b2b-agency.cc and will be assessed in good faith, free of charge and within a reasonable period taking account of complexity and urgency.

7. Mediation

PRE-ORDER may agree to voluntary mediation with a Business User where appropriate. For as long as the Operator qualifies as a small enterprise within the meaning of Commission Recommendation 2003/361/EC, the obligation under Article 12(1) of Regulation (EU) 2019/1150 to identify two or more mediators does not apply. This does not prevent either party from proposing mediation or initiating proceedings before a competent court.

8. Commercial relationship

Seller fees, payment costs, payout terms and post-termination data access are governed by the Seller Agreement or accepted commercial terms. No Seller term may waive mandatory Consumer rights.
