Important transaction structure

This Agreement governs how a Buyer uses PRE-ORDER to discover future fashion collections, communicate with independent Sellers and submit, pay for, manage and track Pre-orders. “PRE-ORDER Europe” EOOD operates the Platform but does not itself sell a Seller’s Product unless a separate transaction expressly states otherwise.

When a binding Pre-order is accepted, the Product Contract is concluded directly between the identified Seller and Buyer. The Seller is responsible for the Product, production, conformity, delivery, cancellations, refunds and after-sales duties. PRE-ORDER provides digital intermediation, communication, transaction-support and record-keeping tools. B2C payments are intended to use Stripe; B2B staged payments and any conditional holding of funds are intended to use a separate licensed Payment Provider where that service is enabled and disclosed. PRE-ORDER does not itself hold Buyer funds.

If you are a Consumer, mandatory consumer-protection rights apply and cannot be excluded or reduced by this Agreement. If you act for trade, business, craft or professional purposes, the Business Buyer provisions apply and consumer withdrawal rights generally do not apply.

1. Parties, acceptance and incorporated documents

1.1 The Platform operator is “PRE-ORDER Europe” EOOD, a Bulgarian single-member limited liability company registered under UIC/EIK 208904127, with registered office at Arthur Residential Complex, Block C, Floor 3, Apartment C44, 8229 Sveti Vlas, Nessebar Municipality, Burgas District, Bulgaria (“PRE-ORDER”, “Operator”, “we”, “us” or “our”).

1.2 “Buyer” means the natural person or business using the Platform to view, request or place a Pre-order. The Seller for each Product is identified in the listing, collection page, order summary or other transaction record.

1.3 You accept this Agreement when you create or use a Buyer Account, click to accept it, confirm a Collection Agreement, submit a request or place a Pre-order after this Agreement is made available. If you act for an organisation, you confirm that you are authorised to bind it.

1.4 This Agreement supplements and incorporates, as applicable, the PRE-ORDER Terms of Service, Platform Terms, Privacy Policy, Payment & Prepayment Policy, Refund & Cancellation Policy, Shipping & Delivery Policy, Acceptable Use Policy, Community Standards, the relevant order summary, Seller sales terms, Collection Agreement and any negotiated B2B document.

1.5 Mandatory law prevails. For the Product Contract, the order summary, Collection Agreement, negotiated purchase document and lawful Seller terms prevail to the extent they contain transaction-specific terms. This Agreement governs the Buyer’s access to and use of PRE-ORDER and complements, rather than replaces, the Product Contract.

2. Definitions and Buyer status

2.1 “Business Buyer” means a natural or legal person acting for purposes related to a trade, business, craft or profession, including a wholesale buyer, retailer or purchasing organisation.

2.2 “Consumer” means a natural person acting for purposes outside their trade, business, craft or profession.

2.3 “Estimated Delivery Window” means the Seller’s good-faith estimate of when a Product is expected to be dispatched or delivered. It is not necessarily a guaranteed delivery date unless the Seller expressly commits to a fixed date or mandatory law makes timing essential.

2.4 “Expression of Interest” means a non-binding indication of possible demand, such as a saved item, waitlist entry, like, follow or other preliminary signal that the interface does not identify as an order.

2.5 “Payment Provider” means an independent, appropriately authorised payment service provider. Stripe is intended for supported B2C payments; a separately selected licensed provider is intended for supported B2B payments, including conditional holding and release of funds where contractually available. Providers may handle authentication, collection, safeguarding, payout, refund, dispute and verification functions under their own terms.

2.6 “Pre-order” means an order or request for a Product planned for future manufacture, launch, release or availability.

2.7 “Product Contract” means the sale and purchase contract directly between the Seller and Buyer for the relevant Product.

2.8 You must select and use the correct Buyer status. Consumer rights apply only where their legal conditions are met. A Business Buyer may not claim Consumer status for a business purchase. If an order has mixed personal and business purposes, its status is determined under applicable law.

3. Eligibility, Account and security

3.1 You must be at least 18 years old and legally capable of entering into this Agreement and any Product Contract. The Platform is not directed to children.

3.2 You must provide accurate, current and complete registration, contact, billing, delivery and, where applicable, business details. Business Buyers must provide their legal company name, registration number, registered business address and authorised representative’s name and position or authority; tax/VAT information is required where applicable. You must update these details when they change.

3.3 You are responsible for protecting your login credentials and for activity under your Account, except to the extent caused by PRE-ORDER’s failure to apply reasonable security measures. Do not share passwords or authentication codes with unauthorised persons.

3.4 PRE-ORDER, the Seller or the Payment Provider may request identity, billing, delivery, business, tax, beneficial-ownership or transaction information where reasonably required for account security, fraud prevention, sanctions controls, KYC/KYB, payment processing or legal compliance. Transactional functions may be restricted until required checks are completed.

3.5 You must notify PRE-ORDER promptly at info@b2b-agency.cc or through available support tools if you suspect unauthorised access, payment misuse or compromise of your Account.

3.6 You may not impersonate another person, create an Account using false information, evade a lawful suspension, use another user’s Account without authority or transfer your Account without PRE-ORDER’s approval.

4. What PRE-ORDER provides

4.1 Depending on rollout, territory and Buyer type, the Platform may allow Buyers to discover brands and future collections, view Products, save or follow items, communicate with Sellers, submit Expressions of Interest, request quotations, place and track Pre-orders, review order documents, make or schedule payments through the Payment Provider and receive product, traceability, sustainability or Digital Product Passport information.

4.2 PRE-ORDER may provide order-level chat, notifications, payment-status information, document access, shipment updates and support tools so that information about the same transaction can remain connected in one workflow.

4.3 Not every feature is available in every country, language, currency or release. PRE-ORDER may introduce, modify or discontinue non-essential functionality while taking reasonable steps to protect open Product Contracts and mandatory rights.

4.4 Search results, recommendations, predicted demand, sustainability indicators, estimated production information, tracking information and third-party data are informational. Buyers should review the Seller identity, Product listing, Collection Agreement, order summary and applicable Seller terms before ordering.

5. Seller identity, trader status and PRE-ORDER’s role

5.1 Before a Consumer is bound, the Seller’s identity, contact information and trader status will be displayed as required by applicable law. Business Buyers should also review the Seller’s company information before placing material wholesale orders.

5.2 PRE-ORDER may conduct or facilitate Seller verification and may request legal, business, bank, product-safety or beneficial-ownership information. Verification reduces risk but does not constitute certification, endorsement, guarantee of solvency or guarantee of Product performance.

5.3 The Seller, not PRE-ORDER, is the seller of record and contracting party for the Product. PRE-ORDER does not acquire title to, manufacture, import, inspect, warehouse, package or deliver the Product merely by operating the Platform.

5.4 PRE-ORDER may technically transmit offers, acceptances, confirmations, payment instructions, refund requests, messages and dispute information and may provide first-line support without assuming the Seller’s Product Contract obligations.

5.5 Product-specific performance, conformity, withdrawal, delivery, warranty and refund claims should normally be directed to the Seller using PRE-ORDER support and order tools where available.

6. Product information, future collections and concept-stage Products

6.1 Listings may concern future collections, concepts, samples, prototypes, made-to-order Products or Products that have not yet been manufactured or released. The Seller must identify relevant production status and provide material information needed for an informed purchasing decision.

6.2 Product information may include the Product name, SKU/article, description, images, materials, textile composition, sizes, colours, care information, Seller’s Product price, currency, applicable taxes, separately calculated delivery charges, production or order thresholds, pre-order period, payment model, production stage and Estimated Delivery Window. For B2B, minimum quantities may apply to the collection, individual article and colour.

6.3 Concept images, AI-generated visuals, samples and prototypes may differ reasonably from the final Product where this is clearly disclosed. A material change to essential characteristics, quality, price or agreed specification requires notice and any consent required by law or the Product Contract.

6.4 Availability and production may depend on Seller capacity, collection-level commercial viability, article or colour MOQ, supply chains, verification, legal restrictions and other disclosed conditions. Saving a Product or keeping it in a basket does not itself constitute a funded order, reserve production or guarantee the price. An accepted B2B order supported by a confirmed deposit is distinguishable from an unpaid basket.

6.5 The Seller remains responsible for the accuracy and legality of listing information and claims. You should report suspected counterfeit, unsafe, illegal or materially misleading Products through the available reporting or support channel.

7. Expressions of Interest, saved items, requests and quotations

7.1 An Expression of Interest, saved item, wishlist entry, follow, waiting-list entry, basket entry or preliminary demand signal is not a paid or binding order unless the interface clearly states that a separate binding order action has occurred. An item may remain in the basket pending completion, but it does not count as financially confirmed demand until the required payment is successfully confirmed by the Payment Provider.

7.2 A request for quotation or wholesale enquiry is an invitation to the Seller to provide commercial terms. It is not acceptance of a Product Contract.

7.3 For Business Buyers, a quotation or negotiation may lead to a separate purchase order, Collection Agreement or sales contract covering specifications, samples, quantities, colours, size ratios, MOQ, Incoterms, payment stages, delivery batches, acceptance criteria, taxes, customs and other commercial terms.

7.4 Where a negotiated B2B document is used, the Business Buyer must review it and ensure that the person accepting it has authority. PRE-ORDER may store or present the document as part of the transaction workflow without becoming a party to the Seller-Buyer Product Contract.

8. Placing a binding Pre-order

8.1 Before submission of a binding Pre-order, the checkout or order flow must identify the Seller, Products, quantities, sizes and colours, Product price, currency, applicable taxes, delivery charges or their calculation method, Platform fees payable by the Buyer (if any), payment dates and instalments, material MOQ/production conditions, Estimated Delivery Window and principal cancellation and return terms. For Consumers, the total amount due, inclusive of mandatory taxes and unavoidable charges, must be disclosed before payment as required by law.

8.2 A button or equivalent action that creates an obligation to pay must be presented in a way that clearly communicates that obligation. You are responsible for reviewing the order summary and correcting available errors before submission.

8.3 Unless the applicable Seller terms state a different lawful mechanism, a Product Contract forms when the Buyer accepts the applicable transaction terms and submits an order carrying a clearly indicated payment obligation, the required payment is confirmed by the Payment Provider, and the Seller accepts it or the Platform issues an acceptance under the Seller’s predefined rules. B2B A/B/C transactions additionally follow their respective Collection Agreement and any conditional-funds procedure disclosed before payment.

8.4 An automated acknowledgement that a request or order has been received is not necessarily acceptance unless clearly stated. The Seller may reject an order for reasons such as unavailable capacity, failed verification, legal or territorial restriction, inability to meet the Product specification or a genuine pricing or technical error, subject to applicable law.

8.5 The confirmation and related order documents should be retained. They identify the contracting Seller and the material transaction terms.

9. Collection Agreements and transaction records

9.1 PRE-ORDER may generate an Order Schedule, payment request or other transaction record from Seller-approved data and may present a Collection Agreement. An official tax invoice is issued by the Seller with its own legal details, numbering and VAT treatment. Where a compliant in-Platform invoice feature is available, the Seller may issue the invoice in its own name; otherwise it uploads the official document created through its accounting system.

9.2 Where the order flow requires Buyer acceptance of a Collection Agreement, the Buyer must have access to its full text and the order schedule before confirming. For B2B, the Brand selects Model A (30% deposit and 70% on an agreed date/event), Model B (30% deposit and 70% in agreed stages linked to shipments) or Model C (100% advance payment). The Platform may block submission until the required acceptance is recorded with account, authorised user, date/time, language and document version.

9.3 Electronic records, confirmations, chat messages, payment statuses and order-history entries may be retained as evidence of the transaction and to support fulfilment, dispute resolution, security and legal compliance.

9.4 A Platform-generated document does not override mandatory law and does not make PRE-ORDER the seller of the Product.

10. Production thresholds, MOQ, delays and changes

10.1 Where production depends on minimum quantities, the Seller may set requirements at collection, article/SKU and colour level. The Buyer must be informed of any material order or production condition, relevant campaign deadline and the consequences for the order and funds if production does not proceed. An internal collection-level factory threshold need not be disclosed numerically if the resulting production condition and Buyer consequences are stated clearly.

10.2 Business Buyers may be subject to minimum order quantities by collection, article, colour and, where configured, size or assortment. The Buyer must be able to verify the applicable requirements in the listing, quotation, Collection Agreement or Order Schedule before making a binding commitment.

10.3 If the applicable MOQ or other disclosed production condition is not fulfilled, or the Seller decides not to produce, the affected order or line may be cancelled as permitted by the Product Contract and applicable law. Funds conditionally held by a licensed B2B Payment Provider must be released or refunded under the disclosed provider and contractual rules; B2C refunds are processed through Stripe where that is the payment channel. PRE-ORDER facilitates the relevant records and requests but does not independently hold the funds.

10.4 Estimated Delivery Windows are estimates unless the Seller expressly commits to a fixed date or applicable law treats timing as binding. The Seller should communicate material production or delivery delays through the Platform where available.

10.5 If a delay, substitution or other change is material, the Buyer may accept a revised timetable or specification or use cancellation and refund rights available under the Product Contract and applicable law. Silence is not consent where express consent is required.

11. Prices, taxes, currencies and charges

11.1 The Seller sets the Product price. B2B catalogues may show Product prices excluding VAT, with applicable taxes determined separately under the Seller’s legally applicable tax rules. Before a Consumer is bound, the total price including mandatory taxes and all unavoidable charges must be displayed, as well as delivery costs or their calculation method where required by law.

11.2 For B2B, the PRE-ORDER service fee is 1.5% of the paid Product value (excluding VAT and delivery) payable by the Business Buyer and 1.5% payable by the Seller, calculated on actual payment stages and disclosed before payment. For B2C, a Platform service commission of 8% applies under the applicable commercial terms; who bears it and any amount payable by the Consumer must be expressly identified before the Consumer commits. No undisclosed Buyer fee may be charged.

11.3 Delivery is priced separately by the chosen logistics provider or under the disclosed shipping arrangement. Card issuer, bank, currency-conversion, cross-border, customs, import VAT, brokerage or similar third-party charges may also apply. Charges not calculable in advance must be identified as such where law requires; amounts set independently by those parties are not controlled by PRE-ORDER.

11.4 Sellers remain responsible for the applicable VAT treatment, official Product invoices and related corrections; Business Buyers remain responsible for their own accounting, import and tax obligations. The Platform may show Seller-supplied tax amounts or integrate approved tax/invoicing services but does not itself determine the correct VAT treatment merely from the Buyer’s country.

11.5 A genuine and obvious pricing or technical error may result in rejection or cancellation before fulfilment, subject to mandatory law. Any amount that must be returned will be refunded through the available payment channel.

12. Payments, prepayments and licensed providers

12.1 Where available, B2C Pre-orders are paid through Stripe, generally at 100% of the amount due when the order is placed. B2B Models A and B require a 30% initial deposit, while Model C requires 100% advance payment, through an independently licensed B2B Payment Provider with conditional holding and release of funds where this functionality has been contractually enabled. The precise provider, payment timing and release conditions must be disclosed before a B2B Buyer commits; unsupported payment flows will not be represented as available.

12.2 PRE-ORDER does not need to receive or store complete payment-card or account-security details to operate the Platform. Payment credentials and regulated fund-holding services are managed by the relevant licensed Payment Provider under its terms. The Platform may display verified payment and funds-status information received from that provider.

12.3 A Brand selects B2B Model A, B or C for a collection before accepting pre-orders. Initial B2B payment is intended to financially confirm the order before the relevant deadline and before final MOQ and production decisions; funds are released to the Seller only on the agreed condition supported by the provider. Model A: 30% initially and 70% on the agreed date or event. Model B: 30% initially and the remaining 70% in scheduled stages linked to partial shipments. Model C: 100% initially. Payment dates/events, amounts and consequences of non-payment must be disclosed before acceptance.

12.4 A funded order, card authorisation, deposit or full prepayment does not guarantee that the Seller will launch production or deliver the Product. The Seller confirms the relevant MOQ and production decision; cancellation and release/refund rights are governed by the applicable Product Contract, provider terms and mandatory law.

12.5 You must provide a valid payment method and complete any required strong customer authentication or other payment-security step. If a scheduled payment fails, the Seller or Platform may request another payment attempt or apply the consequences disclosed for the order.

12.6 You must not use stolen or unauthorised payment instruments, deliberately evade verification, submit false transaction information or initiate abusive or duplicate chargebacks.

13. Conditional B2B funds and Payment Provider responsibilities

13.1 PRE-ORDER is a digital pre-order Platform, not a bank, payment institution, electronic-money institution or escrow agent. It does not itself receive or hold Buyer funds in escrow. A conditional-funds arrangement for B2B is offered only by a separately licensed Payment Provider after that provider and the specific service have been activated.

13.2 Where an eligible B2B arrangement is available, the provider receives the initial payment and safeguards or holds it under its own applicable regulatory framework and transaction terms until a disclosed release, cancellation or refund condition is met. The Platform may show the verified status, but any reference to a virtual account or reserved funds does not mean the Buyer can withdraw or freely reuse the money.

13.3 The exact legal nature of the payment, permitted holding period, who can instruct release or refund, dispute process, supported countries and currencies, and fees depend on the selected provider and binding transaction documents. A simple card authorisation or internal Platform balance must not be presented as licensed escrow. Where no such provider functionality is available, the Platform must not promise conditional holding of B2B funds.

14. Consumer right of withdrawal

14.1 A Consumer purchasing at a distance may generally have a statutory period of 14 days to withdraw without giving a reason. For goods, the period normally begins when the Consumer or a nominated third party acquires physical possession, subject to applicable national law and any lawful exception.

14.2 The Consumer may exercise the right by sending the Seller an unequivocal statement or using an available withdrawal function before the deadline. A model withdrawal notice is included in Schedule 3 for convenience, but use of that exact form is not mandatory where the law allows another clear statement.

14.3 The Consumer normally must return the goods within the legally applicable period after notifying withdrawal. Direct return costs may be borne by the Consumer only where this was properly disclosed or otherwise permitted by law.

14.4 The Consumer may be responsible for diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods, where permitted by law.

14.5 The Seller must reimburse the amounts required by law using the legally applicable method and timing and may withhold reimbursement until the goods are returned or evidence of dispatch is supplied where the law permits.

14.6 Exceptions may apply, including for goods made to the Consumer’s specifications or clearly personalised. A Product is not automatically excluded from the right of withdrawal merely because it was pre-ordered, produced after order, manufactured on demand or described as made-to-order.

14.7 Consumer withdrawal rights do not generally apply to Business Buyers. B2B cancellation rights arise from the Product Contract, negotiated documents and applicable commercial law.

15. Cancellation before delivery

15.1 Before a binding order is accepted or the required B2B deposit is paid, an unpaid request or basket may be withdrawn where permitted by the interface and applicable terms. Once the B2B initial payment is confirmed, cancellation by the Business Buyer is governed by the Collection Agreement and applicable law, rather than an unrestricted right to change their mind. Consumer withdrawal rights remain unaffected.

15.2 After acceptance, cancellation and refunds depend on the Buyer’s status, mandatory Consumer rights, the applicable Collection Agreement or B2C Seller offer, the Refund & Cancellation Policy and the Product Contract. A B2B Buyer does not obtain a general no-reason cancellation right after financial confirmation merely because production has not yet started.

15.3 The Seller may cancel an order at any stage where permitted by the Product Contract and law, including if disclosed MOQ/production conditions are not met, supply becomes impossible or another lawful ground arises. Required refunds or release of conditionally held funds must be handled through the relevant provider; the Seller cannot retain funds contrary to the contract or mandatory law.

15.4 Where a Seller cancellation gives rise to a refund, the Seller must initiate or approve the legally required refund through the available payment channel. PRE-ORDER may facilitate the technical process.

15.5 PRE-ORDER may freeze, restrict or technically cancel a transaction where reasonably necessary for fraud, sanctions, product-safety, illegality, cybersecurity or payment-risk reasons. This does not remove mandatory Buyer remedies against the Seller.

16. Returns, refunds and chargebacks

16.1 Returns and refunds are governed by mandatory law, the Refund & Cancellation Policy, Seller terms, the applicable Collection Agreement and the Product Contract. In B2B, the agreed remedy for non-conforming goods may initially be replacement, correction, an agreed credit against another Product or a future collection, without excluding a refund or other remedy where contract or law requires it.

16.2 The Buyer should follow reasonable return instructions, package goods appropriately and provide tracking or evidence of dispatch where reasonably requested. A Seller may reject a return only on a lawful contractual or statutory basis.

16.3 Approved refunds, payment releases and reversals are processed through the Payment Provider used for the relevant transaction and subject to the applicable contractual and legal rules. Bank and Payment Provider processing times are outside PRE-ORDER’s direct control.

16.4 Before initiating a chargeback, the Buyer should normally contact the Seller or use the Platform dispute workflow where reasonably practicable, unless urgency, fraud, unauthorised payment or card-network rules justify immediate action.

16.5 A chargeback does not by itself determine the underlying Product Contract. The Seller and, where appropriate, PRE-ORDER may provide transaction, communication, authentication and delivery evidence to the Payment Provider or card network.

16.6 Fraudulent, knowingly false, duplicate or abusive chargebacks are prohibited and may result in Account restrictions without prejudice to legitimate dispute rights.

17. Shipping, delivery, risk and customs

17.1 The Seller is responsible for manufacturing, quality control, packaging, dispatch and delivery arrangements unless the Product Contract expressly allocates a specific task differently.

17.2 Delivery options are provided by logistics companies selected for the relevant route or made available through PRE-ORDER under separate service arrangements. Delivery is calculated separately from Product prices. Carrier documents and tracking come from the carrier; information displayed in PRE-ORDER may depend on carrier data and may not update in real time.

17.3 You must provide a complete and accurate delivery address, recipient details and reasonable customs information. Additional costs caused by an incorrect address, repeated failed delivery or unjustified refusal may be charged where lawful and properly disclosed.

17.4 For Consumers, risk generally should not pass before the Consumer or a nominated third party takes physical possession, except where mandatory law permits otherwise. Business Buyer risk and title are governed by the Product Contract and any agreed Incoterms.

17.5 Cross-border orders may be subject to import duties, VAT, customs clearance, brokerage or restrictions. The order documents should identify the responsible party where practicable; otherwise applicable law and agreed delivery terms determine responsibility.

17.6 Report non-delivery, visible damage, shortage or missing items promptly through the Seller or Platform channel, without prejudice to statutory rights that may allow a longer period.

18. Product conformity, warranties and remedies

18.1 The Seller is responsible for delivering goods that conform to the Product Contract and applicable law, including agreed description, type, quantity, quality, size, colour, functionality, safety and other promised characteristics.

18.2 Consumer remedies for non-conforming goods may include repair or replacement and, where the legal conditions are met, proportionate price reduction or termination of the Product Contract and refund. Mandatory national guarantee periods and burden-of-proof rules remain applicable.

18.3 A commercial warranty or guarantee is additional to statutory rights and should identify the guarantor, scope, duration, territory and procedure. It cannot replace or reduce mandatory conformity rights.

18.4 A Business Buyer must inspect and notify defects in accordance with the Collection Agreement and applicable commercial law. B2B remedies may prioritise replacement of defective Products or, by mutual agreement, alternative goods or credit for future collections. Delayed or failed delivery and any legally or contractually required refund or damages remain subject to the agreed terms and applicable law.

18.5 PRE-ORDER may facilitate communication, evidence exchange and dispute workflows but does not become liable for the Seller’s conformity obligations merely by providing those tools.

19. Additional terms for Business Buyers

19.1 Business Buyers purchase for professional purposes and do not receive Consumer rights unless mandatory law expressly extends such protection.

19.2 The Business Buyer is responsible for defining and checking specifications, quantities, size and colour selections, resale requirements, import and customs status, destination-market requirements and commitments to downstream customers.

19.3 Samples, tolerances, production approvals, quality-control plans, Incoterms, Model A/B/C payment stages, any conditional holding of B2B funds, partial shipments, allocation of separate transport costs, inspection, acceptance and remedies must be documented in the quotation, Order Schedule, Collection Agreement or other Product Contract document.

19.4 If partial shipment is permitted, the Product Contract should identify the relevant quantities, shipment batches, payment stages and treatment of shortages, delays and remaining balances.

19.5 Unless expressly agreed, PRE-ORDER does not guarantee exclusivity, territory, resale margin, recommended resale price, sales volume, continuous supply or Seller production capacity.

19.6 The Business Buyer remains responsible for complying with laws applicable to its resale or onward supply of Products, including any labelling, customs, tax, consumer or product-safety obligations that apply to it in its role.

20. Communications, notifications and support

20.1 PRE-ORDER may provide built-in chat, in-app notifications, email or other transaction-related communications. These may be used for order updates, payment reminders, production changes, shipment information, document delivery, support and security messages.

20.2 Messages concerning a Product Contract may be retained and made available to the Seller, Buyer and authorised support personnel to facilitate fulfilment, resolve disputes, prevent fraud and comply with legal obligations, as described in the Privacy Policy.

20.3 You should keep your contact details current and review transaction notifications. A failure to read a notice does not necessarily suspend a payment or performance deadline that was validly agreed, subject to mandatory law.

20.4 Customer support can assist with Platform use, message routing, payment-status information and transaction records but may need to refer Product-specific questions to the Seller or Payment Provider.

21. Buyer conduct, reviews and prohibited activity

21.1 You must communicate lawfully and respectfully and must not harass, threaten or discriminate against Sellers, staff or other users.

21.2 You must not use PRE-ORDER for fraud, money laundering, sanctions evasion, counterfeit transactions, stolen payment instruments, unlawful marketing, malware distribution, vulnerability testing without authorisation, manipulation of demand signals or other prohibited activity.

21.3 You must not request off-Platform payment for the purpose of fraud, evading required verification or circumventing transparently agreed Platform fees. Legitimate B2B contracting or invoicing outside an integrated payment flow is permitted only where the Platform or written terms allow it.

21.4 Reviews, ratings and feedback must reflect genuine experience. Incentivised content must be disclosed where required. PRE-ORDER may moderate content under published rules but should not remove a review merely because it is negative.

21.5 You are responsible for Content you submit and must have the rights needed to share it. Do not upload unlawful, infringing, defamatory or unnecessarily sensitive personal information.

22. Privacy, identity checks and transaction data

22.1 PRE-ORDER processes personal data under its Privacy Policy. The Seller may separately process Buyer data as an independent controller where necessary for the Product Contract and must provide legally required privacy information.

22.2 The Payment Provider processes payment and verification data under its own terms and privacy information. PRE-ORDER may receive payment status, tokenised identifiers, dispute information or other transaction metadata needed to operate the Platform.

22.3 Business Buyers must have a lawful basis to provide personal data about their staff, recipients, delivery contacts or other individuals and should provide them with required notices.

22.4 Do not submit special-category or highly sensitive information through chat or free-text fields unless it is genuinely necessary and the Platform expressly requests it.

22.5 Transaction records may be retained after Account closure where reasonably necessary for accounting, tax, fraud prevention, chargebacks, product-safety, legal claims, regulatory obligations and enforcement of Product Contracts.

23. Digital Product Passport, sustainability data and AI-supported features

23.1 Product traceability, sustainability metrics, Digital Product Passport information and related attributes may be supplied by Sellers, manufacturers, service providers or other third parties. PRE-ORDER may structure or validate technical format but does not guarantee the accuracy of source data unless expressly stated.

23.2 PRE-ORDER may use automated tools to support search, recommendations, fraud detection, moderation, translation, demand analytics and other functions. These tools may evolve as the Platform develops.

23.3 Demand forecasts and production recommendations are intended primarily as decision-support for Brands and do not create a guarantee that a Product will be produced, delivered, commercially successful or environmentally beneficial.

23.4 PRE-ORDER’s AI functionality is not intended to autonomously make legally binding purchasing or production decisions about Buyers. Material AI-related limitations and human-oversight principles are described in the AI Transparency Statement.

23.5 Environmental and overproduction-reduction targets associated with the PRE-ORDER project are subject to measurement and validation. They should not be interpreted as guaranteed outcomes for an individual order or Seller.

24. Complaints, disputes and Platform assistance

24.1 Product complaints should normally first be sent to the Seller using the order or support channel. PRE-ORDER may assist by routing messages, preserving records, requesting a response or facilitating a structured dispute workflow.

24.2 PRE-ORDER may take proportionate action against a listing, transaction or Seller Account but does not adjudicate civil liability between Seller and Buyer unless mandatory law requires it.

24.3 Consumers may use courts and any applicable certified alternative-dispute-resolution mechanisms available under mandatory law. Business Buyer disputes with the Seller are governed by the Product Contract.

24.4 Complaints about PRE-ORDER’s own services, Account measures, moderation or Platform functionality may be sent to info@b2b-agency.cc or through the contact tools made available on the Platform.

24.5 When raising a dispute, provide the order number, relevant dates, description of the issue, requested resolution and available evidence. Do not send full card numbers or unnecessary sensitive data.

25. Account restriction, closure and open orders

25.1 You may stop using PRE-ORDER and request Account closure, subject to open orders, payment obligations, disputes, refunds and lawful data-retention requirements.

25.2 PRE-ORDER may restrict or terminate an Account for material or repeated breach, fraud, sanctions risk, cybersecurity risk, abusive chargebacks, unlawful content, identity misuse or danger to users. Where required by law, reasons and available appeal information will be provided.

25.3 Account closure does not automatically cancel an existing Product Contract. The Buyer and Seller must complete, cancel or resolve open transactions in accordance with applicable law and their agreement.

25.4 PRE-ORDER may preserve limited access to transaction records or support features after closure where necessary to complete refunds, resolve disputes or meet legal obligations.

26. Availability, disclaimers and allocation of responsibility

26.1 PRE-ORDER aims to provide reliable services but does not guarantee uninterrupted, error-free or permanently available operation. Maintenance, third-party services, payment systems, carriers, connectivity, cybersecurity incidents and events beyond reasonable control may affect availability.

26.2 PRE-ORDER does not guarantee Seller performance, production, demand, Product suitability, manufacturing quality, delivery date, profitability or accuracy of Seller-originated claims. Verification, ranking, a badge or inclusion on the Platform is not an endorsement or insurance.

26.3 Nothing in this Agreement limits mandatory Consumer rights or liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct or death or personal injury caused by negligence where applicable.

26.4 For Business Buyers, to the extent permitted by law, PRE-ORDER is not liable for indirect or consequential loss or loss of profit, revenue, opportunity, goodwill or anticipated savings arising from Platform services.

26.5 For Business Buyers, PRE-ORDER’s aggregate liability arising from Platform services in any 12-month period is limited to the greater of fees paid by that Business Buyer to PRE-ORDER in that period or EUR 100, except where mandatory law prohibits the limitation or a separate signed commercial agreement provides another cap.

26.6 These limitations do not limit the Seller’s obligations or liability under the Product Contract.

27. Changes to this Agreement

27.1 PRE-ORDER may update this Agreement for legal, regulatory, security, technical, operational or service reasons. Material changes will be communicated before taking effect in a legally adequate form.

27.2 Changes will not retroactively remove accrued Consumer rights. Where consent is legally required for a material change, PRE-ORDER will seek it.

27.3 If you do not accept a future change, you may stop using the Platform, subject to completion or lawful resolution of open Product Contracts.

28. Governing law and jurisdiction

28.1 This Agreement, insofar as it governs PRE-ORDER’s own services, is governed by Bulgarian law. A Consumer habitually resident in another country retains any mandatory protections available under applicable conflict-of-law and Consumer-protection rules.

28.2 Consumers may bring proceedings in any court available to them under mandatory jurisdiction rules. Disputes between a Business Buyer and PRE-ORDER arising out of or in connection with this Agreement are subject to the competent courts of Bulgaria unless otherwise agreed in a separate written agreement.

28.3 The law and jurisdiction governing the Product Contract between Seller and Buyer may depend on Seller location, Buyer status, delivery destination and negotiated terms and should be identified in Seller terms or transaction documents.

29. General provisions and contact

29.1 If any provision is invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue in effect. A failure to enforce a provision is not a waiver.

29.2 You may not assign your Account or this Agreement without PRE-ORDER’s consent. PRE-ORDER may assign this Agreement as part of a reorganisation, financing or transfer of the Platform, provided mandatory Buyer rights are not materially reduced.

29.3 The English version governs to the extent permitted by law. Mandatory local-language requirements and Consumer interpretation rules remain applicable.
