Important notice on the Platform and Seller roles

PRE-ORDER is an innovative digital infrastructure for pre-orders connecting independent fashion brands and manufacturers (Sellers) with wholesale Buyers and retail Consumers. Products are offered and sold by the independent Seller identified in the listing and order confirmation, not by PRE-ORDER. The Operator provides platform access, communications, order management and related intermediary services.

A Product Contract is concluded directly between the Seller and the Buyer under the applicable order terms. The Seller remains responsible for the Product, lawful listing, production decision, conformity, shipping, after-sales obligations, cancellations and refunds required by law or the Product Contract. PRE-ORDER may support these activities through technical workflows and records without becoming a party to the Product Contract.

B2C payments are intended to be processed by Stripe; B2B payment and conditional safeguarding or release of funds are intended to be handled by a separately enabled licensed payment provider, subject to its acceptance, supported countries and disclosed terms. PRE-ORDER is not a bank, payment institution, electronic-money institution or escrow agent and does not itself hold Buyer funds in escrow.

1. Scope and relationship with other terms

1.1 These Platform Terms (“Platform Terms”) apply when a user lists, discovers, requests, negotiates, places, accepts, manages, pays for, fulfils or otherwise participates in a pre-order transaction through PRE-ORDER.

1.2 The PRE-ORDER Terms of Service govern access to the Platform generally. The Seller Agreement applies to Sellers; the Buyer Agreement applies to Buyers; and the Payment & Prepayment Policy, Refund & Cancellation Policy, Shipping & Delivery Policy, Acceptable Use Policy, Community Standards, Privacy Policy and other notices apply where relevant.

1.3 If documents conflict, mandatory law prevails. Product-specific terms and a valid negotiated commercial document govern the Product Contract to the extent they lawfully differ from these Platform Terms. These Platform Terms otherwise govern the Platform pre-order process.

1.4 These Platform Terms do not waive mandatory Consumer rights or mandatory rights granted to business users under applicable platform or intermediation law.

2. Definitions

“Account” means a registered profile used to access the Platform.
“Business Buyer” means a person acting for purposes related to a trade, business, craft or profession, including a wholesale buyer or retailer.
“Buyer” means a Consumer or Business Buyer that explores, requests or places a Pre-order.
“Consumer” means a natural person acting outside their trade, business, craft or profession.
“Estimated Delivery Window” means the Seller’s good-faith estimate of when a Product is expected to be dispatched or delivered.
“Pre-order” means an order or request relating to a Product planned for future availability, not yet in stock, not yet produced, or associated with a future collection or release.
“Product” means a fashion item or related good offered by a Seller through the Platform.
“Product Contract” means the sale and purchase contract for a Product between the Seller and the Buyer.
“Seller” means an independent brand, manufacturer or other trader offering Products or future collections through PRE-ORDER.

3. Pre-order platform model and role of PRE-ORDER

3.1 PRE-ORDER provides the infrastructure through which Sellers may present future collections and Products, Buyers may discover and pre-order them, the parties may communicate, and order, payment and delivery statuses may be recorded.

3.2 PRE-ORDER may provide checkout, document generation, invoicing workflows, messaging, notifications, analytics, demand insights, verification tools and integrations with third-party providers. Availability varies by market, user type and release stage.

3.3 PRE-ORDER does not manufacture, own, warehouse, inspect or deliver the Products and is not the Seller under the Product Contract. Any independently agreed logistics integration does not remove the Seller’s legal responsibilities.

3.4 Verification, platform badges, ranking, analytics or moderation activity does not constitute a guarantee or endorsement of a Seller, Buyer, Product, transaction, forecast or delivery outcome.

4. User roles and authority

4.1 Users must select and use the correct role for each transaction. A user acting for a company confirms that they have authority to bind that company.

4.2 A Seller offering Products to Consumers must accurately identify itself and provide the information reasonably required to establish its trader status and meet applicable online-platform and consumer-protection obligations.

4.3 Business Buyers must provide accurate business information and may be required to complete company, tax, beneficial-owner or payment verification before access to transactional features is enabled.

4.4 Consumers must be at least 18 years old and legally capable of entering into the relevant Product Contract.

5. Seller onboarding and verification

5.1 PRE-ORDER may request company name, registration details, VAT or tax identifiers, business address, authorised representative information, website, payment-account details, beneficial-ownership information, product-safety information and supporting documents.

5.2 Verification is a risk-control and compliance measure. It does not transfer the Seller’s legal responsibilities to PRE-ORDER and does not guarantee the Seller’s solvency, authenticity, product quality or future performance.

5.3 PRE-ORDER may refuse, delay, restrict or suspend transactional functionality while verification is incomplete, inconsistent or subject to legal, sanctions, fraud, payment-provider or security concerns.

5.4 Sellers must promptly update information that becomes inaccurate or outdated.

6. Listings, collections and Product information

6.1 Sellers are responsible for the accuracy, completeness and legality of all listing information, images, descriptions, claims and Product data.

6.2 Before the Buyer is bound, the Seller must provide or make available the Product’s main characteristics, Seller identity, applicable prices, currency, taxes and mandatory charges, payment stages, delivery terms, Estimated Delivery Window, territory restrictions, cancellation and return conditions, and any material MOQ at collection, article/SKU or colour level.

6.3 Listings for future collections may use samples, prototypes, renderings or pre-production imagery. Reasonable production variations may occur, but a Seller must not make a material substitution or materially reduce quality without the Buyer’s legally valid agreement where such agreement is required.

6.4 Sellers must have all intellectual-property rights, licences, approvals, test reports, labels, declarations and other documentation required to market and supply the Product in the relevant territory.

6.5 Sustainability, origin, composition, traceability, certification and environmental statements must be supportable and must not be misleading. Estimated or modelled indicators must be identified as such where appropriate.

7. Collection configuration and pre-order campaigns

7.1 A Seller may configure the pre-order campaign period, target audience, Products, SKUs, colours, sizes, product prices, quantities, minimum volumes for the whole collection and/or individual articles and colours, payment model, production conditions and expected delivery information. The Seller must disclose the applicable thresholds and deadlines before an order becomes binding.

7.2 The Platform may prepare a Collection Agreement, an Order Schedule and a payment request using the Seller’s information. These documents are not automatically official sales/VAT invoices. An official invoice, and any required credit note, is issued by the Seller with its own legally compliant numbering and tax treatment; where enabled and legally supported, the Platform may help the Seller prepare and issue such documents in the Seller’s name, or allow the Seller to upload them.

7.3 Sellers must not change a material campaign condition retroactively after a Buyer is bound unless the change is permitted by law and the Buyer’s agreement is obtained where required.

7.4 PRE-ORDER may archive expired campaigns, preserve transaction records and continue to display historical order information where needed for fulfilment, support, accounting, legal or dispute purposes.

8. Formation of a Product Contract

8.1 The interface will distinguish, where relevant, between an expression of interest, a quotation request, a non-binding request and an order carrying an obligation to pay.

8.2 The point at which a Product Contract becomes binding is specified in the applicable Seller–Buyer agreement and order flow. For B2B, an express order acceptance and confirmed funding of the required 30% deposit (Models A/B) or 100% prepayment (Model C) may create a binding order subject to disclosed MOQ and production conditions. For B2C, the applicable Seller offer and confirmed payment govern formation. A provisional cart entry or technical receipt alone does not create a binding Product Contract.

8.3 An automated acknowledgement that a request has been received does not by itself mean the Seller has accepted it.

8.4 The order confirmation should identify the Seller, Product, quantity, price, payment status, Estimated Delivery Window and applicable Product Contract terms.

8.5 The Seller may reject an order where permitted by law and the applicable terms, including where stock or production capacity is unavailable, verification fails, payment is not authorised, an obvious pricing error exists, or the transaction would be unlawful.

9.1 Business Buyers may place wholesale Pre-orders under one of three separate contractual models: A — 30% initial deposit and 70% on an agreed date or objectively evidenced event; B — 30% initial deposit and 70% in agreed instalments linked to partial shipments; C — 100% prepayment. The accepted Order Schedule specifies quantities, assortment, payment schedule and delivery conditions.

9.2 The applicable Collection Agreement (Model A, B or C), accepted Order Schedule and any expressly negotiated terms govern the Seller–Buyer Product Contract. Material amendments require agreement by the relevant parties.

9.2 A quotation, purchase order, collection agreement or separately negotiated contract may supplement these Platform Terms. The specifically negotiated terms govern the Product Contract to the extent of a conflict.

9.3 Consumer withdrawal rules do not apply to a Business Buyer acting in the course of business. B2B defective or non-conforming goods may, where permitted by law and agreed by the parties, be replaced, reworked, credited or applied to a future collection; this does not remove remedies for material delay, failure to deliver, or rights that cannot lawfully be excluded.

9.4 Business users are responsible for their own tax, customs, import, export and regulatory obligations except to the extent expressly allocated otherwise in the Product Contract.

10. Consumer orders and mandatory rights

10.1 When a Seller sells to a Consumer, the Seller must comply with mandatory pre-contract information, pricing, distance-selling, delivery, conformity, cancellation, refund and after-sales obligations applicable to that transaction.

10.2 Nothing in these Platform Terms removes or reduces mandatory Consumer rights.

10.3 In many EU/EEA distance sales, Consumers have a statutory withdrawal period, commonly 14 days, subject to legal exceptions. A pre-order or made-to-order status alone does not automatically make a Product “personalised”; an exception applies only where its legal conditions are met.

10.4 If the Seller offers more favourable cancellation, return or warranty rights than mandatory law requires, those more favourable rights form part of the Product Contract.

11. Prices, taxes, fees and currency

11.1 Sellers determine Product prices. B2B catalogue prices may be stated excluding VAT where lawful; the Seller is responsible for identifying and applying the correct VAT treatment. Before a Consumer is bound, the full amount payable including applicable mandatory taxes and fees must be shown. No VAT rate is determined solely by the Buyer’s country without assessment of the actual transaction.

11.2 The Platform may show Product prices, applicable VAT or other taxes, separately calculated carrier charges, Platform service fees and the amount due at each payment stage. For B2B, the agreed Platform commission is 1.5% of the Product value to the Buyer and 1.5% to the Seller; for B2C, the Platform commission rate is 8%, with the payer and its presentation determined by the relevant published service terms and checkout. Any fee charged to a party must be clearly disclosed before that party becomes bound. Rates and tax treatment of the Platform’s own services are subject to its separate agreements and applicable law.

11.3 The Seller remains responsible for tax registrations, VAT treatment and official Product invoices, including legally required numbering, correction documents and reporting. The Platform’s Order Schedule and payment request are not automatically official tax invoices. PRE-ORDER may provide technical invoicing tools on the Seller’s behalf only when legally supported, without taking over the Seller’s underlying tax obligations.

11.4 Currency conversion, card-issuer charges or bank charges imposed by third parties may apply and are outside PRE-ORDER’s direct control.

12. Payments and prepayments

12.1 B2C payments are intended to be processed by Stripe under its applicable terms. For B2B, PRE-ORDER plans to enable a separate appropriately licensed payment partner for funding, safeguarded balances and conditional transfer or refund; the actual partner and payment conditions will be disclosed before such functionality is available. No particular payment provider or country coverage is guaranteed until activated.

12.2 For B2B, the relevant Seller–Buyer Model A/B/C agreement governs the initial 30% deposit or 100% prepayment, the funding deadline and any subsequent balance stages. A Buyer’s funds may be held by the licensed payment partner pending disclosed MOQ and production conditions; funds are released or refunded only under that provider’s rules and the agreed order terms. B2C orders follow the Seller’s consumer offer and the disclosed Stripe payment process.

12.3 An amount displayed in a wallet, an authorised card payment or a recorded prepayment must not be treated as proof that funds have been collected, safeguarded or released unless the payment provider confirms the relevant status. A deposit does not itself guarantee production or delivery.

12.4 PRE-ORDER does not itself maintain escrow accounts or hold Buyer funds in custody. Any legally recognised escrow, safeguarded balance, reserve or conditional-release arrangement is provided, where available, by the independently licensed payment partner under its specific contractual and regulatory conditions.

12.5 Where cancellation, failure of MOQ or other contractual grounds require refund or release of funds, the applicable Seller and payment provider implement the financial action. Timing depends on the provider, method, banking system and mandatory law. PRE-ORDER may coordinate records and support but does not guarantee independent processing times.

13. Minimum demand, production decisions and availability

13.1 Production may depend on a disclosed minimum across the entire collection, a particular article/SKU and/or colour, as configured by the Seller. The Seller must specify how levels are counted and which combination of thresholds must be met.

13.2 Before a Buyer becomes bound, the relevant thresholds, order/funding deadlines, conditions for releasing or returning funds, and consequences of failure must be made clear. If a collection-level threshold fails, the whole collection may be cancelled; if only an article or colour threshold fails, affected items may be cancelled, subject to the agreed terms and mandatory law.

13.3 The Seller confirms the final manufacturing decision based on the accepted terms and verified demand and payment statuses. AI forecasting, analytics and recommendations from PRE-ORDER remain decision support and do not trigger production autonomously.

13.4 If an accepted Product cannot be produced or supplied, the Seller must promptly notify affected Buyers and provide the agreed and legally required remedies, including cancellation and release/refund of funds where due. Substitution or credit requires the Buyer’s legally valid agreement where applicable.

14. Production status, changes and delays

14.1 Sellers must maintain order and production statuses with reasonable accuracy and communicate material delays or changes without undue delay.

14.2 Estimated production and delivery dates are good-faith estimates unless a fixed date is expressly agreed or mandatory law makes the date binding.

14.3 If a proposed change materially affects Product characteristics, price, quantity, delivery, payment terms or another essential condition, the Seller must obtain any Buyer consent required by law or the Product Contract.

14.4 PRE-ORDER may display status information supplied by Sellers, logistics providers or integrations and is not responsible for an independent provider’s inaccurate status data except to the extent liability cannot lawfully be excluded.

15. Shipping, delivery and partial shipments

15.1 The Seller is responsible for packaging, dispatch, agreed delivery arrangements, transport and customs documents, and relevant product compliance, except where a task is expressly allocated otherwise by contract. Delivery prices may be calculated separately by the selected logistics provider.

15.2 Available carriers may include DHL, FedEx, UPS or other providers configured for the relevant market. Carrier availability is not guaranteed.

15.3 Where a collection or B2B order permits partial shipment, the order flow may track shipped quantities, remaining quantities and corresponding payment stages separately.

15.4 Risk of loss, title transfer and delivery completion are governed by the Product Contract and mandatory law. PRE-ORDER does not alter those rules merely by displaying tracking information.

16. Cancellations, returns, refunds and non-conformity

16.1 Cancellation and refund rights depend on Buyer status, Seller terms, Product characteristics, production status and mandatory law.

16.2 Consumers retain any statutory withdrawal rights and remedies for non-conforming goods, delay or non-delivery. For Business Buyers, the applicable Collection Agreement and commercial law govern remedies; replacement, correction, credit or offset against future collections may be agreed where lawful, without extinguishing mandatory or agreed remedies for material breach.

16.3 Sellers must process legally required refunds through the available payment channel and must not impose a policy that unlawfully overrides mandatory Consumer rights.

16.4 PRE-ORDER may provide dispute-support tools, records and communications but does not automatically assume the Seller’s refund obligation.

17. Product safety, compliance and recalls

17.1 Sellers must ensure Products comply with all applicable product-safety, labelling, composition, consumer-information, import/export and market-access requirements in the territory where they are offered.

17.2 Sellers must promptly notify PRE-ORDER and affected Buyers of a safety issue, recall, regulatory restriction or material compliance problem and must take corrective action required by law.

17.3 PRE-ORDER may remove or restrict Products, preserve evidence, block new transactions and cooperate with competent authorities where reasonably necessary.

17.4 Digital Product Passport, traceability or sustainability information displayed through PRE-ORDER is only as reliable as the underlying verified or Seller-supplied data and may be subject to updates.

18. Platform communications and records

18.1 The Platform may provide order-linked chat, notifications and document storage to support transactions.

18.2 Users must not misuse order-related Platform communications for harassment, unlawful marketing, fraud, malicious software, sanctions evasion, deceptive off-Platform payment requests or avoidance of transparently agreed Platform fees.

18.3 PRE-ORDER may retain transaction communications, confirmations and audit records where reasonably necessary for fulfilment, security, fraud prevention, dispute resolution, accounting or legal compliance, as described in the Privacy Policy.

18.4 Users should retain their own copies of material commercial records, especially quotations, order confirmations, invoices and negotiated terms.

19. Search, ranking, promotion and recommendations

19.1 Search and discovery may consider relevance, collection and Product attributes, location, language, availability, recency, engagement, Seller performance, Buyer preferences, commercial arrangements and, where deployed, demand indicators or predicted demand.

19.2 Paid placement, sponsorship or another commercial influence on visibility will be identified where required.

19.3 PRE-ORDER does not guarantee a Seller any ranking, impressions, demand, conversion rate, sales volume or order level.

19.4 Automated recommendations and demand insights are informational tools and may be incomplete or uncertain. Material limitations are addressed in the AI Transparency Statement and relevant feature notices.

20. Reviews, feedback and Platform signals

20. Reviews, feedback and Platform demand signals

20.2 PRE-ORDER may use reasonable methods to identify suspicious engagement and may remove or discount signals that appear artificial or abusive.

20.3 A review or Platform signal expresses the relevant user’s view or behaviour and is not a representation or guarantee by PRE-ORDER.

21. Prohibited Products and conduct

21.1 Users must not list, request, buy, sell or facilitate Products that are illegal, counterfeit, stolen, recalled, unsafe, infringing, subject to prohibited trade restrictions or otherwise forbidden by the Acceptable Use Policy.

21.2 Users must not misrepresent identity, trader status, price, origin, materials, certifications, sustainability claims, availability, production status or delivery expectations.

21.3 Users must not manipulate transactions or demand data, launder money, commit fraud, evade sanctions or customs rules, abuse payment systems, harvest personal data unlawfully, or interfere with Platform security.

21.4 PRE-ORDER may restrict an activity that creates material legal, safety, fraud, sanctions, cybersecurity or reputational risk even where a specific example is not listed above.

22. Moderation, notices and enforcement

22.1 PRE-ORDER may investigate allegedly illegal or policy-violating listings, Content or transactions and may request information from users.

22.2 Depending on the circumstances, PRE-ORDER may restrict visibility, delist a Product, pause payments or transaction functionality where technically and legally available, preserve evidence, suspend an Account, terminate access or notify competent authorities.

22.3 Where required by law, affected users will receive a statement of reasons and an available complaint route, subject to lawful exceptions for fraud prevention, security, investigations or confidential information.

22.4 Good-faith reporting does not automatically establish a violation. PRE-ORDER will consider available information, proportionality, legal requirements and the rights and legitimate interests of affected parties.

23. Platform data and confidentiality

23.1 PRE-ORDER processes personal data in accordance with the Privacy Policy. Transaction data may be shared between Seller and Buyer where necessary to form and fulfil the Product Contract.

23.2 Business users may access Platform data available through their accounts, dashboards, exports or support channels, subject to privacy law, confidentiality, third-party rights, security and technical limits.

23.3 Users must protect confidential commercial information obtained through a transaction and must not use another party’s data for unrelated marketing, profiling or competitive purposes unless lawfully permitted.

23.4 Aggregated or appropriately de-identified data may be used for analytics, platform improvement, project validation and demand insights as described in applicable privacy and project documentation.

24. Intellectual property and Platform Content

24.1 Sellers retain ownership of their brands, Product images and other Content, subject to the licence granted under the Terms of Service to operate and promote the Platform and fulfil transactions.

24.2 A Seller must not upload Content that infringes copyright, trade marks, design rights, privacy, publicity or other third-party rights.

24.3 Buyers may use listing Content only for legitimate purchasing, order-management and internal business evaluation purposes unless the rights holder permits broader use.

24.4 PRE-ORDER may remove or restrict allegedly infringing Content and may request evidence of ownership, authorisation or licence.

25. Complaints and transaction disputes

25.1 Buyers should first raise Product-specific issues with the Seller through the available Platform communication or support flow.

25.2 PRE-ORDER may assist by providing Platform records, facilitating communication or applying Platform policies but does not become an arbitrator of the Product Contract unless mandatory law requires otherwise.

25.3 Consumers may use mandatory court, consumer-protection or certified alternative dispute-resolution mechanisms available to them under applicable law.

25.4 Business users may submit Platform complaints through the contact channel published by PRE-ORDER. Where platform-to-business rules require an internal complaint-handling procedure, PRE-ORDER will process eligible complaints transparently and within a reasonable period.

26. Suspension, restriction and account closure

26.1 PRE-ORDER may restrict Platform functionality where reasonably necessary because of legal risk, policy breach, fraud, payment risk, sanctions concerns, product safety, incomplete verification, cybersecurity threats, repeated complaints or non-payment of applicable Platform fees.

26.2 Where legally required, PRE-ORDER will provide prior notice, reasons and an opportunity to remedy or challenge a restriction. Immediate action may be taken where delay would create material legal, safety, fraud or security risk.

26.3 Account closure does not automatically cancel an existing Product Contract. Seller and Buyer remain responsible for resolving open orders, payments, deliveries, cancellations and refunds.

26.4 PRE-ORDER may retain records after closure where required for legal, tax, accounting, fraud-prevention, security or dispute purposes.

27. Platform availability and feature changes

27.1 Platform features may differ by country, user role, device, commercial plan and product rollout stage.

27.2 PRE-ORDER may update, replace, suspend or discontinue features for security, legal, technical, commercial or operational reasons. Material changes affecting existing transactions will be handled consistently with mandatory law and applicable Product Contracts.

27.3 Pilot, beta, preview, AI, sustainability, DPP or experimental functionality may change as the project develops and should not be treated as professional, legal, accounting or investment advice.

28. Responsibility and liability allocation

28.1 Each Seller is responsible for its Products and Product Contracts. Each Buyer is responsible for accurate ordering information, lawful use of the Platform and its obligations under the Product Contract.

28.2 PRE-ORDER remains responsible for its own obligations as Platform operator to the extent required by applicable law, but does not guarantee that Sellers or Buyers will perform their independent contracts.

28.3 Nothing in these Platform Terms excludes or limits liability or rights that cannot lawfully be excluded or limited, including mandatory Consumer rights.

28.4 Any limitation of PRE-ORDER’s liability is governed by the Terms of Service and any applicable role-specific agreement.

29. Changes to these Platform Terms

29.1 PRE-ORDER may update these Platform Terms to reflect legal, regulatory, security, technical, operational or commercial changes.

29.2 Material changes will be communicated in a legally adequate manner before they take effect. Changes will not retroactively alter a completed Product Contract unless permitted by law and agreed where necessary.

29.3 Business-user notice periods and any additional platform-to-business protections are governed by the Terms of Service and applicable law.

30. Governing framework and contact

30.1 These Platform Terms form part of the PRE-ORDER contractual framework and are interpreted together with the Terms of Service. Governing law and dispute-jurisdiction rules are those specified in the Terms of Service, subject always to mandatory Consumer and other non-waivable protections.

30.2 Product Contract disputes remain primarily between the Seller and Buyer, subject to the law and jurisdiction applicable to that Product Contract.

30.3 Questions, complaints and legal notices concerning the Platform may be sent to info@b2b-agency.cc.

30.4 Operator: “PRE-ORDER Europe” EOOD, UIC/EIK 208904127, Arthur Residential Complex, Block C, Floor 3, Apartment C44, 8229 Sveti Vlas, Nessebar Municipality, Burgas District, Bulgaria.
